Early Childhood Management Services (ECMS) has been a leading provider of Early Childhood Education and Care (ECEC) in Melbourne for over 25 years. As a not-for-profit social enterprise, ECMS operates 68 early years services across 16 municipalities across greater Melbourne, supporting over 6,000 children and their families. We pride ourselves on being an early learning specialist focused on fostering lifelong learning and are committed to creating safe and nurturing environments for children.
Reporting to the Chair of the Board, the Company Secretary is the primary custodian of the corporate governance process within the organisation and is entrusted with ensuring the seamless and effective operation of board processes and procedures to the highest standards.
Responsibilities include providing secretariat support, monitoring policy compliance, and enhancing board efficacy through optimal governance frameworks and practices. Moreover, as a Governance expert, the successful applicant will enjoy mentoring others, offering guidance and additional support to help build capability and a culture of shared responsibility and rigour in the area of Corporate Governance.
Other accountabilities include:
Overseeing board member induction and performance reviews.
Facilitating documentation and governance requirements for all Board & Committee Meetings as well as the Annual General Meeting.
Timely minute-taking at board and committee meetings.
Assisting Chair with instituting a strong culture of corporate governance via mentoring and related projects.
Qualifications and Experience:
Formal qualifications in legal or governance and / or extensive senior-level experience in a similar Company Secretary role, ideally with both Commercial and NFP sector exposure.
Demonstrated corporate governance expertise, including policy development and implementation.
Proficiency in providing secretariat services to corporate committees.
Strong understanding of legal and regulatory frameworks.
Excellent communication and interpersonal skills.
Strong organisational and time-management abilities.
Solution oriented with an open-mindset and ability to get things done in a proactive manner.
